UkaMart Seller and Vendor Agreement

The comprehensive contractual agreement governing verified sellers and vendors offering goods on UkaMart.

← All 13 Policies
Official Statement & Application

This Agreement is between UkaMart Global Ltd (RC1532291) and the individual or business accepting it as a Marketplace Seller. It governs selling through UkaMart, including listings, fulfilment, refunds, fees, deductions and restrictions. Read the applicable fee and settlement schedule before actively accepting this Agreement.

1 Agreement and marketplace role

UkaMart provides marketplace services. For your listings, you are the seller and contract directly with the buyer; UkaMart is not the retail seller merely because it hosts a listing or assists with payment or delivery. UkaMart's own retail products are separately identified. This clause does not exclude UkaMart's statutory responsibilities or its express commitments.

You must actively accept this Agreement and the applicable schedules before selling. You authorise UkaMart to transmit order acceptance and other transaction communications on your behalf through the agreed process. Payment through the authorised checkout route discharges the buyer's payment obligation for the paid amount; provider settlement issues are not grounds to demand payment twice.

2 Eligibility

Individual sellers and authorised business representatives must be at least 18 and have legal capacity and authority. A business must be lawfully established for its activities. You must satisfy proportionate identity, product, tax and payout requirements before activation.

The general 15-plus account rule does not permit a child to sell, receive payouts or borrow an adult's seller identity. Approval is limited to the account and categories actually approved.

3 Individual sellers

Provide your legal identity, contact, address and lawful ownership or authority to sell. Describe your trading activity accurately. An individual seller remains responsible for consumer obligations applicable to their sales; using a personal account does not automatically remove them.

4 Business vendors

Identify the business's legal name, registration number, address, tax information and authorised representatives. Provide applicable CAC company or business-name records and beneficial ownership or control information where lawfully required. Notify changes promptly.

You warrant that the representative accepting has authority to bind the business. Your staff must use authorised access and comply with the Agreement; do not conceal the legal seller behind an unrelated shop name.

5 Verification and KYC

UkaMart may require appropriate government identity evidence, CAC or business-name documents, Tax Identification Number, bank-account ownership and product licences. BVN or NIN checks, if required, use an authorised and legally permitted verification route. Do not send banking OTPs, PINs or full credentials through chat.

We may seek proportionate further information where details conflict. Verification does not certify all your products. Verification information is processed under the Privacy Notice; unavailable checks can prevent activation or payout rather than being represented as completed.

6 Seller account

Maintain accurate details, secure credentials and authorised staff permissions. Report suspected compromise promptly and cooperate with recovery. You are responsible for activity you authorise, subject to UkaMart's responsibility for its own systems and failures.

Do not sell, lend or transfer the account without written approval. Update contact information so notices reach you. We retain versioned electronic acceptance and transaction records appropriate to evidence requirements.

7 Legal ownership of products

You must own the goods or hold valid authority to sell them free of undisclosed claims or restrictions. Keep purchase, provenance and import records appropriate to the goods. Do not list stolen, financed, leased or ownership-locked goods as freely transferable stock.

8 Listings

Follow Document 7 and all approved category requirements. Supply required information before publication, review automated suggestions and update material changes. UkaMart may request corrections or temporarily unpublish a listing pending evidence.

9 Product accuracy

Descriptions, photographs, specifications, accessories, origin and claims must match the actual item. Disclose material defects and limitations prominently. A private chat or hidden disclaimer does not cure a misleading main listing.

10 Pricing

State the real price, currency and compulsory charges. Honour the confirmed price. Do not use misleading discount comparisons, placeholder prices or off-platform payment demands. A genuine pricing error must be handled promptly and lawfully, without unilateral alteration of an already accepted contract.

11 Stock

Keep quantities current and remove unavailable stock. Do not accept orders on invented availability. Pre-orders require an approved category process and a disclosed realistic lead time.

12 Product condition

Use the defined Brand New, Open Box, UK Used, Nigeria Used, Refurbished, Renewed or For Parts condition accurately. Record used-device serial or IMEI, locks, repairs and material battery information. An origin label is not a certification.

13 Authenticity

Counterfeits are prohibited even if described as replicas. Provide reasonable supply-chain evidence when requested. UkaMart review is not a guarantee of authenticity, safety or legality and does not transfer your obligations to UkaMart.

14 Prohibited products

Do not list or promote goods prohibited by law or by UkaMart's stricter platform rules. Do not use messages, alternate categories or external payment links to evade a prohibition. The distinction between legal controls and platform exclusions appears in Document 7.

15 Regulated products

Obtain and maintain required approvals, registrations, labelling and supply-chain documentation. Approval for one product does not cover all variants. Notify expiry, recall or regulatory action promptly and stop affected sales.

16 Customer orders

A submitted order is a buyer's offer. The sale is binding when you accept and the platform sends the explicit โ€œOrder confirmedโ€ notice on your behalf. Payment acknowledgement alone is not acceptance. Each seller's order is separate in a mixed basket.

Accept only if you can lawfully supply on the stated terms. An automatic acceptance feature, if separately enabled by you, acts with your authority. A confirmed order cannot be changed by later editing a listing.

17 Fulfilment

Supply the agreed product, package it safely, include necessary instructions and dispatch within the promised period. Keep handover and condition records. Inform the buyer and support promptly of a delay and the available remedy.

18 Cancellation

Reject unavailable orders promptly before acceptance and cooperate with return of collected payments. After confirmation, cancellation does not remove remedies for breach. Do not impose an undisclosed cancellation fee or substitute goods without consent.

Buyer cancellations are assessed under the disclosed offer and law. You may recover only lawful, reasonable and disclosed charges where permitted.

19 Delivery

Use the agreed delivery route, accurate tracking and authorised handover. Do not mark a parcel delivered without evidence. Your contract with a carrier does not remove your supply obligations to the buyer. Additional logistics terms govern a separately accepted service.

20 Returns and responsibility for remedies

Comply with Documents 3 and 4 and mandatory consumer law. You must fund refunds, repairs, replacements and reasonable return costs for your wrong, defective, damaged, counterfeit or otherwise non-conforming supply. You must not require a buyer to pursue your supplier or carrier instead of your own obligation.

You authorise UkaMart to process approved refunds, including partial settlements, to buyers and recover amounts for which you are responsible under section 23. UkaMart initiates the approved buyer refund within 2 business days, or sooner where required by law; you must promptly cooperate and must not pay a duplicate refund. A payout already received does not excuse your reimbursement obligation. Voluntary partial settlements require both parties' affirmative agreement and verified performance before case closure.

21 Warranty

State the warranty provider, duration, scope, start event, exclusions, costs and claim route before sale. Honour your own promises and do not misrepresent local manufacturer support. Additional warranties do not replace statutory rights.

22 Buyer disputes

Respond to a request for evidence within 3 business days unless a justified extension is agreed. Preserve relevant records and cooperate with fair inspection. No retaliation, review coercion, forged evidence or harassment is permitted.

You may challenge an adverse decision through human review. An appeal does not automatically suspend a legally due remedy; a separately justified hold or interim direction must be explained.

23 Proceeds deductions and recovery

You appoint UkaMart as your limited payment collection agent for orders made through official checkout and authorise receipt through Paystack or UkaMart's designated bank account. Payment received through that route discharges the buyer's corresponding payment obligation. This authority does not allow UkaMart to bind you generally outside the order process.

Paystack settles checkout receipts to UkaMart; official direct transfers are received by UkaMart. UkaMart holds received order funds pending release, records the amount payable to you and deducts only disclosed fees, lawful taxes and justified transaction adjustments. UkaMart owes your payable proceeds under this Agreement. No escrow, trust, deposit insurance or insolvency priority is created by this wording.

We initiate payout to your verified bank account within 2 business days after buyer acceptance or a documented manual release decision, subject to justified holds. If the buyer has not responded within 7 calendar days after actual delivery, we manually assess delivery evidence and unresolved complaints before deciding release. No response is not automatic acceptance, and later valid buyer claims remain possible. Bank completion may follow initiation; the statement records both stages.

The accepted fee schedule identifies the applicable commission or service fees, taxes and any disclosed transfer charges before activation. Document 10 explains the collection, release and insolvency position. We do not use undefined future schedules to change the release rules already agreed here.

You authorise UkaMart to deduct from sums otherwise payable to you a refund, chargeback, agreed fee or other evidenced amount you legally owe under this Agreement. Before deduction, we give the amount, transaction, reason and evidence summary, subject to lawful disclosure limits, and ordinarily 5 business days to challenge. An approved buyer refund, urgent provider debit or legal requirement may require earlier adjustment, with notice as soon as lawful and a continuing right to challenge. A seller challenge does not automatically delay a buyer remedy already due; any erroneous deduction is corrected.

There is no double recovery. We correct an erroneous deduction. If payable sums are insufficient, you must pay the justified shortfall within 14 calendar days of an itemised demand, subject to an unresolved good-faith dispute and applicable law. We do not debit your bank account without separate authority. We may apply a properly established debt against later earnings, with an itemised record.

An ordinary transaction hold is limited to the affected amount and 30 calendar days. Review occurs at least every 7 calendar days. Longer retention requires a documented ongoing investigation, provider or legal restriction, with reasons and continued review where disclosure is lawful. Unrelated undisputed amounts remain payable unless a specific lawful reason applies. See Document 10 for provider custody and insolvency disclosures.

24 UkaMart fees

Only fees disclosed and accepted in the relevant schedule apply. The schedule identifies rates, calculation base, taxes, charged events, refund treatment and payout charges. No undisclosed rate is created by this Agreement.

We give at least 30 calendar days' notice of a material fee change and obtain renewed agreement where required. New rates do not retrospectively alter an already confirmed transaction. You may stop taking new orders rather than accept a future change, while completing existing obligations.

25 Taxes

You are responsible for your tax registration, declarations and taxes legally due from your activity. UkaMart accounts for its own taxes and makes legally required withholding or deductions, identifying the basis and amounts on statements and supplying evidence where required.

The schedule must distinguish tax on the goods, tax on platform services and withholding. We do not treat every deduction as a tax or promise that all seller proceeds are tax-free. Supply accurate tax details and invoices.

26 Reviews

Do not buy, fabricate or condition remedies on positive reviews. Report false or unlawful reviews with evidence. Honest criticism is not a breach merely because it damages sales. Disclose material incentives lawfully offered for a genuine review.

27 Counterfeit enforcement

Suspected counterfeits may be unpublished pending investigation. Provide authenticity and provenance records. Confirmed violations may require refunds, lawful recall or disposal, restrictions and reporting. Do not re-upload an item to evade action.

28 Intellectual property

You retain your rights in listing content. You grant UkaMart the limited non-exclusive rights needed to host, display, format and promote your listing on its own platform while the listing is active, and to keep lawful transaction evidence. External paid campaigns require separate permission.

You must have rights to all images, text, brands and media you submit. Formal copyright complaints follow Document 11. Technical review does not clear third-party rights for you.

29 Product recalls

Notify UkaMart immediately of a safety defect, recall or regulatory restriction affecting your goods. Stop sales, preserve traceability records and cooperate with lawful buyer notification and remedies. Bear costs attributable to your responsibility; UkaMart remains accountable for its own conduct.

30 Fraud

Fake orders, false delivery evidence, money laundering, stolen identities, manipulated refunds and attribution fraud are prohibited. We may investigate, temporarily restrict affected activity and make legally required reports. A risk flag is not a final finding.

31 Account restriction

A restriction should address the affected function and risk. Where lawful, we give its reason, scope, amount affected if any, review condition and appeal route. Financial restrictions follow the proportionality and review rules in Documents 10 and 11.

32 Suspension

Urgent suspension may protect users, evidence or compliance. Final significant restrictions receive human review. We provide access to support for outstanding transactions even if platform access is suspended. Suspension alone does not forfeit earned proceeds.

33 Termination

Either party may end future participation on 30 calendar days' notice; you may stop new listings sooner. UkaMart may terminate immediately for serious breach, unlawful activity or an urgent legal or safety requirement, with notice and review where lawful.

Outstanding orders, remedies, lawful debts, confidentiality and justified record retention survive as needed. Undisputed final proceeds are paid under the accepted schedule. We do not retain money as a termination penalty.

34 Appeals

Appeal to support@ukamart.com within 30 calendar days of notice, explaining the decision and evidence. We consider reasonable late submissions. Acknowledgement is within 2 business days and the target human-review outcome is 10 business days, with progress updates at least every 10 business days if needed.

Request escalation to the Trust and Safety Lead if material evidence or a procedural error remains. Copyright statutory challenges and external legal deadlines are separate.

35 Indemnities and liability

You indemnify UkaMart against reasonable, evidenced third-party claims, losses and legal costs to the extent caused by your material breach, unlawful goods, infringement, fraud, negligent fulfilment or culpable misuse of personal data. This includes related product and recall claims attributable to you. It does not cover UkaMart's own negligence, fraud or other wrongdoing, or a penalty that cannot lawfully be transferred.

We give prompt claim notice, allow reasonable participation in the defence, mitigate loss and do not agree a settlement imposing an admission or non-monetary duty on you without your reasonable consent. No duplicate recovery applies.

For business-to-business platform-service claims only, UkaMart's aggregate liability for claims arising from events in any 12-month period is capped at the greater of NGN 100,000 and the platform fees you paid UkaMart during the 12 months before the first event giving rise to those claims. Overlapping claims arising from the same event are not separate caps. Indirect loss of profit or opportunity is excluded to the extent lawful.

The cap does not reduce money already due to you, refunds or property UkaMart must return. It does not limit fraud, wilful misconduct, death or personal injury caused by negligence, or liability and consumer rights that cannot lawfully be limited. It does not cap a buyer's rights against you or automatically apply to a separate carriage contract.

36 Governing law and general terms

Nigerian law governs. Business disputes may be brought before a competent court in Imo State, subject to statutory jurisdiction and any mandatory forum. Consumers retain their lawful forums. Parties may agree mediation or, by a separate written agreement for a defined business dispute, arbitration under the Arbitration and Mediation Act 2023. There is no compulsory consumer arbitration.

You are an independent contractor, not an employee, partner or general agent of UkaMart. Neither party may bind the other except for expressly granted transaction authority. Assignment requires the other's written consent, not unreasonably withheld, except a lawful restructuring transfer that does not reduce accrued rights and is notified. Account access cannot be transferred without approval.

An event outside reasonable control excuses affected delay only to the extent legally permitted, with prompt notice and reasonable mitigation; it does not erase accrued payment or consumer remedies. This Agreement, accepted schedules and applicable published policies form the agreement on selling, subject to mandatory law and recorded transaction promises. Invalid terms are severed only so far as lawful. A failure to enforce once is not a permanent waiver.

Material changes receive at least 30 calendar days' notice and renewed acceptance where required. Existing orders remain governed by their accepted terms unless law requires otherwise. Notices go to the registered contact and support@ukamart.com. Postal address: UkaMart Global Ltd (RC1532291), No. 49 Tetlow Road, Online Plaza (Opposite Haier Thermocool Showroom), Owerri, Imo State, Nigeria.

Active acceptance

The seller must select an unchecked acceptance control stating: โ€œI am at least 18, have authority to act for this seller, and agree to the Seller and Vendor Agreement and the fee and settlement schedule presented to me.โ€ This acceptance is separate from optional marketing consent.

The accepted versions must be available to download. The acceptance record identifies the seller, authorised representative, versions, schedules, time and affirmative action. Acceptance does not activate a seller before required verification and service schedules are complete.

For these service targets, business days mean Monday to Friday excluding Nigerian public holidays. Calendar days include weekends and holidays. Any shorter mandatory legal deadline takes priority.
