These Terms govern use of the Nigerian website, apps and services operated by UkaMart Global Ltd (RC1532291). They identify the parties' roles, explain the core rules and incorporate the applicable service policies presented before acceptance. A transaction-specific promise and mandatory law are not displaced by a general disclaimer.
1 About UkaMart
UkaMart Global Ltd (RC1532291) operates the marketplace and associated enabled services. Our office is No. 49 Tetlow Road, Online Plaza (Opposite Haier Thermocool Showroom), Owerri, Imo State, Nigeria. We may sell our own retail products, identified as “Sold by UkaMart”, alongside independent marketplace sellers.
These Terms do not bind an unnamed UK company or create a cross-border service contract. Any separately offered international service identifies its contracting entity and terms before booking.
2 Acceptance of Terms
Review these Terms and the relevant linked policies before selecting the acceptance control. We record the version and affirmative action and make the accepted text available to retain. Selling and Promote and Earn require separate active acceptance of their agreements and schedules. Optional marketing and tracking consent are separate and cannot be inferred from contractual acceptance.
The following documents apply to their subject matter: Document 1 Privacy Notice; Document 2 Community Standards; Document 3 Buyer Protection and Transaction Policy; Document 4 Returns Refunds and Warranty Policy; Document 5 Delivery and Pickup Terms; Document 6 Seller and Vendor Agreement; Document 7 Product Listing and Product Rules; Document 8 Ukaah Creator and Content Policy; Document 9 Affiliate Creator Earnings and Referral Terms; Document 10 Payments Earnings and Balance Terms; Document 11 Safety Enforcement IP and Appeals Policy; and Document 12 Privacy Controls and App Permissions.
Applicable documents and transaction schedules must be accessible before acceptance. Mandatory law prevails. A specific accepted transaction term governs its subject over a general provision, without silently removing a stated consumer protection. The Privacy Notice explains processing and does not operate as blanket consent. An unavailable policy or schedule cannot be incorporated merely by its name.
3 Definitions
UkaMart, we and us mean UkaMart Global Ltd (RC1532291). Platform means its relevant website, apps and enabled digital services. User means a person using those services. Buyer means the contracting purchaser. Marketplace Seller means the independent individual or business identified as seller; Vendor means a business seller. A UkaMart Product is sold by UkaMart itself.
Order means the purchase request and, once explicitly confirmed, the binding sale described in section 11. Ukaah means the content and community service. Creator means a person publishing content. Affiliate means an approved Promote and Earn participant. Content includes text, listings, media, comments and other submitted material.
Earnings means qualifying amounts payable under an accepted seller or rewards arrangement. Promotional Credit means non-cash promotional value. Business days mean Monday to Friday excluding Nigerian public holidays; other days stated as calendar days include weekends and holidays.
4 Eligibility
The minimum account age is 15. Users aged 15–17 require verified consent from a parent or legal guardian and the safeguards in Documents 1 and 12. Public posting also requires specific verified guardian authority for the limited content licence. Access is unavailable where required consent cannot be verified.
Selling, receiving payouts, Promote and Earn, paid creator participation and LIVE hosting require age 18. An adult must place a purchase as the contracting buyer through the adult's account. Business representatives must have authority to bind the named business. Do not bypass eligibility with another person's identity.
5 Accounts
Provide accurate information, keep contact details current and use only authorised access. We may request proportionate evidence of identity, age, business authority or payout ownership. Verification is limited to its stated purpose and is not a guarantee of every activity or product.
Do not transfer, rent or sell an account without approval. You may request account closure through available controls or privacy@ukamart.com; outstanding obligations and lawful record retention are handled separately.
6 Account security
Protect passwords and available authentication controls, supervise authorised staff access and report suspected compromise to support@ukamart.com. Do not disclose payment secrets to other users or support.
We may take proportionate temporary protective action while investigating. Your responsibilities do not remove ours for our own security, negligence or breach. A compromised account is assessed on evidence rather than automatic blame.
7 UkaMart services
Available services may include shopping, selling, Ukaah content, approved earnings programmes and delivery or pickup. Access depends on eligibility, location, provider arrangements and the relevant accepted terms. A feature listed here is not a promise that it is currently offered.
We may maintain or change services with appropriate notice and treatment of existing commitments. A service change does not erase an order, valid earned entitlement or remedy already due.
8 Marketplace structure
For independent marketplace goods, the sale is between the buyer and the named seller. UkaMart provides marketplace services and the commitments expressly stated in the applicable policies. A creator or affiliate promoting a product is not automatically its seller.
Listing, processing support or promotion does not make UkaMart the retail seller of every item. This allocation does not remove a statutory duty arising from UkaMart's actual role or its own conduct. Mixed baskets identify each seller and order separately.
9 UkaMart as retailer
For “Sold by UkaMart” products, UkaMart is responsible for its seller obligations, accurate description, lawful supply, applicable remedies and any additional warranty it gives. We do not redirect these obligations to an independent seller.
10 Marketplace sellers
Sellers are responsible for their authority to sell, lawful and authentic goods, accurate listings, prices, stock, fulfilment and required remedies. They must accept Document 6 and comply with Document 7. Platform review does not guarantee their product's authenticity, safety or legality.
Seller verification and product review have different scopes. No badge overrides the product description or statutory consumer rights.
11 Buying
Check the seller, product, condition, total price, delivery and warranty before submitting an order. Submission is an offer to buy; payment acknowledgement is not acceptance. The contract becomes binding when the named seller accepts and UkaMart sends the explicit “Order confirmed” notice on that seller's behalf. Each seller's order is accepted separately.
Payment through the authorised checkout route discharges the buyer's obligation for the confirmed received amount. A settlement dispute is not grounds for a second charge. Rejected orders' collected payments are returned. Confirmed orders cannot be changed through undisclosed substitution or a later listing edit.
Documents 3 and 4 govern complaints, returns and remedies. UkaMart processes approved refunds for eligible official orders and separately recovers amounts for which the seller is responsible. The buyer is not required to await future seller sales or voluntary reimbursement. A complaint starts review; it is not automatic proof of a fault. Partial settlements require clear written terms, affirmative agreement by buyer and seller and verified performance before closure.
12 Selling
Complete eligibility checks and actively accept the Seller Agreement and fee and settlement schedule before activation. The schedule identifies fees, funds handling, release events and payout arrangements. No undefined fee or custody arrangement is accepted merely through these general Terms.
Seller deductions, recovery and justified holds follow Documents 6 and 10. Sellers remain responsible for buyer remedies after payout. Selling through UkaMart does not create employment, partnership or unrestricted agency.
13 Ukaah
Follow Community Standards and Document 8 for publication, music, product claims and disclosures. Creators retain ownership and grant only the limited operating and on-platform promotion licence described there. Paid external use requires separate permission.
Do not fabricate demonstrations, endorsements or engagement. Children require the verified authorisation described in section 4 and cannot participate in paid creator activity under these Terms.
14 Promote and Earn
Document 9 and the accepted offer determine qualifying products, attribution, commissions, referrals and reversals. Participation is independent and does not guarantee earnings or authorise promises on UkaMart's behalf.
An estimate is not available cash. Offers must disclose their commercial and payout conditions before activation, and relevant promotional content must identify the relationship.
15 Payments
The only checkout options are Paystack and transfers to UkaMart Global Ltd's designated account displayed in official checkout. An order-linked verified transfer to that account is an official payment eligible for Buyer Protection; a private transfer to a seller is not. Paystack settles receipts to UkaMart, and direct transfers are received by UkaMart.
For marketplace orders, UkaMart collects payment as the seller's limited collection agent and retains received funds pending buyer acceptance or a documented release or dispute decision. UkaMart initiates seller payout within 2 business days after acceptance or an authorised release decision, subject to justified holds. If a buyer does not respond within 7 calendar days after delivery, manual review of delivery evidence and unresolved complaints precedes release. Acceptance or payout does not extinguish later valid claims.
Document 10 governs collection, reconciliation, refunds, deductions and payout. UkaMart owes payable seller proceeds and earnings under the applicable agreement. An available balance is an accounting record, not a bank deposit, savings product, escrow account or insured fund. No top-ups, user-to-user transfers or wallet spending are supported. Final adverse payout decisions receive meaningful human review.
16 Delivery and pickup
Delivery and pickup of marketplace orders follow Document 5 and the options accepted at checkout. UkaMart arranges supported order delivery through appointed carriers; the order identifies the service, destination or pickup point, charge and estimated delivery window. No standalone parcel-booking service is offered under these Terms.
UkaMart remains the support contact for delivery it arranges and remains accountable for its own commitments. A carrier claim or insurance limit does not replace the buyer's remedy for the underlying sale. Unsupported routes are not offered.
17 Swap
Swap is not enabled under this version of the Terms. An exchange, cash difference, inspection, handover, failed performance and remedy process require separate approved rules and acceptance before the feature is activated.
A private exchange negotiated in messages does not become a protected UkaMart order merely because the users met on the platform.
18 Make an Offer
Make an Offer is not enabled under this version. Separate rules must determine offer expiry, counteroffers, reservation, acceptance, payment and contract formation before activation.
Ordinary enquiries or price discussions do not bypass the order-confirmation process or create a protection promise for private payments.
19 Wanted
Wanted is not enabled under this version. Separate rules must cover requests, responses, moderation and conversion into an official order before activation. No public request may be used to solicit prohibited goods, fake deposits or unnecessary personal data.
20 User content
You retain rights you own in submitted content and must have authority to provide it. For listings, you grant the limited hosting, display, formatting and on-platform promotion rights needed to deliver the listing, with lawful transaction evidence retained. Ukaah content follows Document 8.
Private support evidence and messages are processed for their stated purpose under the Privacy Notice, not licensed for unrelated advertising. No general-purpose AI-training right or blanket moral-rights waiver is granted by these Terms.
21 Intellectual property
UkaMart and its licensors retain rights in platform software, branding and materials, subject to third-party and user rights. Ordinary use does not transfer those assets or permit impersonation, unauthorised copying or interference with systems.
Copyright notices go to the designated Copyright Notices Officer at support@ukamart.com, subject “Copyright notice”, and follow Document 11. Trademark and counterfeit complaints have separate evidence processes. We do not claim automatic legal immunity for all hosted or promoted content.
22 Prohibited behaviour
Fraud, phishing, fake payments, account takeover, harassment, child exploitation, threats, privacy abuse, unlawful goods, infringement and manipulated engagement are prohibited. Do not evade a valid restriction, interfere with systems or seek another person's payment secrets.
Honest reviews, good-faith complaints and lawful criticism are permitted. Reporting and enforcement follow Documents 2, 7 and 11.
23 Privacy
Documents 1 and 12 explain processing and choices. Contact privacy@ukamart.com for access, correction, deletion, objections, guardian enquiries or other privacy concerns. Contract acceptance does not replace consent to optional tracking, marketing, audience matching or location.
Messages may be scanned for safety and relevant alerts reviewed by authorised personnel. We do not claim messages are inaccessible to UkaMart. Actual processing must match the notice and applicable legal basis; these Terms do not authorise unlawful processing.
24 Third party services
Providers may process payments, deliver parcels or supply external services under disclosed terms. A link is not a guarantee of third-party performance or permission to ignore its relevant conditions.
UkaMart remains responsible for its own promises, negligence and non-excludable duties. Delegation to a provider does not automatically remove a responsibility we undertook.
25 Suspension and termination
We may remove content or restrict functions for supported breaches, urgent safety risks, legal requirements or a properly notified service closure. We explain the reason, scope, duration or review condition and appeal route where lawful. Urgent temporary action may precede notice and review.
Final bans, significant commerce or affiliate restrictions and adverse payout decisions receive meaningful human review under Document 11. Suspension does not automatically confiscate earnings or remove access to support for existing orders. Outstanding obligations and lawful retention survive as necessary.
You may close your account, subject to resolving outstanding matters without unnecessary retention of unrelated data. A service closure normally receives 30 calendar days' notice unless law or an urgent risk requires otherwise.
26 Disclaimers
Services can experience interruptions and errors. Recommendations, badges, creator statements and platform review are not universal guarantees of authenticity, safety, fitness or earnings. Estimates are not guaranteed dates unless an express guarantee is offered.
We nevertheless provide our services with the care and obligations required by law. Nothing converts our own retail goods into an “as is” sale that removes mandatory rights or excuses our own misrepresentation.
27 Liability
Responsibility follows the actual role, agreement, breach and applicable law. For ordinary consumers, these Terms impose no blanket monetary cap on statutory product remedies or liability that cannot fairly and lawfully be limited. Losses that were not reasonably foreseeable may be excluded only to the extent law permits; the person's circumstances and stated purpose matter.
For business users' platform-service claims only, UkaMart's aggregate liability for events in any 12-month period is limited to the greater of NGN 100,000 and platform fees that business user paid UkaMart during the 12 months before the first event giving rise to those claims. The same event cannot generate multiple overlapping caps. Indirect business loss of profit or opportunity is excluded to the extent lawful.
No cap or exclusion reduces accrued proceeds, refunds or property UkaMart must return. None limits fraud, wilful misconduct, death or personal injury caused by negligence, mandatory consumer rights or any liability the law does not permit to be limited. Marketplace delivery and pickup follow Document 5. A carrier's contractual claim limit is not imposed as a cap on the buyer's underlying sale remedy. A seller's responsibility does not excuse UkaMart's separate wrongdoing.
28 Indemnity
Ordinary buyers do not give a general commercial indemnity merely by using the platform. Sellers and adult commercial creators may bear the bounded third-party indemnities in their separately accepted agreements, to the extent caused by their own breach, infringement, fraud or unlawful conduct.
Such indemnities do not cover UkaMart's own wrongdoing or untransferable penalties. They require notice, reasonable defence participation, mitigation and protection against unagreed admissions or non-monetary settlements. There is no duplicate recovery.
29 Complaints
Email support@ukamart.com with the account, order, booking or case reference, a description and the outcome sought. We acknowledge within 2 business days and aim for a reasoned response or substantive update within 10 business days; shorter statutory deadlines take priority.
Appeal an adverse decision ordinarily within 30 calendar days. A human reviewer can change the outcome. Reasonable late appeals are considered, and unresolved cases receive explained updates. Copyright statutory procedures remain separate. Do not send PINs, passwords or unnecessary personal data.
30 Dispute resolution
We encourage support, review and freely agreed settlement, including properly recorded partial settlement. These routes are not prerequisites to urgent court relief, a regulator complaint or other mandatory remedies. Mediation may be used by agreement.
Consumers may use any competent court or authority available under law. Business disputes may be brought before a competent court in Imo State, subject to statutory jurisdiction and mandatory venue rules. Parties may agree arbitration for a defined business dispute in a separate written agreement under the Arbitration and Mediation Act 2023, specifying the seat, appointment and costs. No compulsory consumer arbitration applies.
31 Nigerian governing law
Nigerian law governs these Terms, subject to mandatory protections that cannot be displaced. No clause removes a competent regulator's authority. These Terms do not purport to govern a different company's unoffered international contract.
Invalid wording is severed only so far as lawful, with the remaining agreement continuing where possible. Failure to enforce once is not a waiver. A lawful assignment or restructuring transfer must not reduce accrued rights and must be notified; account transfers require approval. Events outside reasonable control require notice and mitigation and do not erase accrued money or statutory remedies.
32 Changes to Terms
We give at least 30 calendar days' notice of material changes, explain the change and identify the new version and effective date. We obtain renewed acceptance where required, particularly for materially changed seller or earnings terms. Users may stop future participation rather than accept a change while completing existing obligations.
Immediate changes may be needed for law, security or urgent safety; we explain them as soon as lawful. They are limited to the actual need. Existing orders and qualifying earnings are not retrospectively rewritten. A notice update does not replace a new consent request for optional processing.
