These Terms govern Promote and Earn and expressly published referral offers operated by UkaMart Global Ltd (RC1532291). They explain eligibility, attribution, commission stages, reversals and payment. An invitation to join does not guarantee income or payment for every post, click or signup.
1 Programme overview
Approved participants may earn commission on qualifying product transactions or a stated reward for a qualifying referral action. You act independently and are not UkaMart's employee, partner, franchisee or general agent. You cannot bind UkaMart, guarantee delivery, promise reimbursement or make unauthorised statements on its behalf.
Participation creates no recruitment downline or return on an investment. A separate employment or commissioned-content contract, if any, must expressly say so.
2 Eligibility
You must be at least 18, have legal capacity, complete required identity, tax and payout verification, and comply with platform policies. Businesses must act through an authorised adult representative. The general 15-plus account rule does not permit monetisation by children.
Participation may be restricted by territory, product category or campaign conditions disclosed before joining. Do not use another person's identity or bank account to evade eligibility.
3 Joining
Joining the standard programme has no membership fee. Actively accept these Terms and the applicable offer and payout schedule. Optional marketing consent is separate. You can review and retain the versions accepted.
No offer activates until it specifies the products or action, rate or reward, calculation base, qualifying period, attribution rules and payment arrangements. A promotional screen with no accepted offer is not a commission commitment.
4 Eligible products
Only products identified as commission-eligible under the offer qualify. Rates may vary by product, seller and campaign. Prohibited, cancelled, fraudulent or otherwise ineligible transactions do not earn commission.
An offer must identify whether it covers only the linked product or other basket items. The default under these Terms is the linked eligible product only. A later product withdrawal does not retrospectively cancel a valid earned entitlement unrelated to that withdrawal.
5 Affiliate links
Use the authorised link or code without falsifying identity, forcing clicks, cookie stuffing or concealing the destination. Do not insert links into spam, malware, impersonation or misleading advertisements.
Do not buy trademarks as advertising keywords or use brand assets where prohibited by the campaign or law. Link access does not authorise use of private customer data.
6 Product linked content
Follow Document 8, including its limited content licence, rights requirements and commercial disclosures. Explain the commission relationship clearly and accurately identify the product and seller. Do not guarantee results or make unsupported regulated claims.
Creator-led advertising requires the creator to arrange legally required ARCON clearance and product approval, working with the advertiser as appropriate. A UkaMart-controlled campaign identifies responsibilities in writing. UkaMart may remove non-compliant promotions; removal does not automatically erase unrelated valid earnings.
7 Commission calculation
For percentage offers, commission equals the eligible product amount multiplied by the published rate. The standard base is the product amount actually paid after allocated discounts, excluding delivery, separately stated taxes and non-product fees. A fixed-rate offer states the qualifying unit or event. Calculations are made item by item, with currency rounding to two decimal places.
The rate and offer version are fixed for a qualifying order when it is submitted, subject to later seller confirmation and eligibility. Changes apply to future qualifying orders, not retrospectively to an accepted transaction.
Example only: an eligible base of NGN 100,000 at an illustrative 5 percent rate produces NGN 5,000 before applicable deductions. This is not a published rate or income promise. The actual offer controls.
8 Attribution
Unless an offer expressly states otherwise before participation, the last eligible tracked affiliate click within 7 calendar days before order submission receives credit for the linked product. A valid affiliate code affirmatively entered at checkout takes priority over a tracked click. Only one participant receives the same commission entitlement.
Attribution uses the supported device, session or account identifiers and lawful privacy choices. Cross-device and app-install attribution apply only where the offer says they are supported. Refused tracking, missing identifiers or technical errors may prevent automatic attribution; we review credible evidence of an error and correct verified mistakes.
Report missing attribution with the link or code, campaign and approximate time. Do not demand a buyer's password, full payment details or unnecessary identity evidence. We do not circumvent privacy controls to preserve commission.
9 Estimated commission
An estimate is an informational calculation before full eligibility is established. It is not available for withdrawal and may change if the price, discount, qualifying quantity or order status changes.
10 Pending commission
A validly tracked order remains pending until delivery is recorded and 30 calendar days have passed after delivery, with payment reconciled, buyer acceptance or a documented release decision recorded, and no unresolved relevant cancellation, return or fraud concern. This is a commission-release condition, not a limit on the buyer's return or statutory rights.
Where a case remains unresolved, we identify the affected amount and review it under Document 10. We do not freeze unrelated commissions without a separate justified reason.
11 Confirmed commission
Commission becomes confirmed when the qualifying conditions are satisfied. It is recognised as earned but remains subject to the specific lawful corrections in section 14. Confirmation is not a promise that a later fraud finding or qualifying refund can never affect it.
The statement records the qualifying order, base, rate, gross commission and adjustments without unnecessary disclosure of buyer data.
12 Available earnings
Confirmed earnings become available for payout under the accepted payment schedule once required verification and any justified hold are resolved. Section 23 sets the standard weekly bank-transfer cycle and absence of a standard minimum. Any expressly offered campaign variation must be disclosed before participation and cannot retrospectively reduce an earned entitlement.
Being below a disclosed minimum does not extinguish earnings. On account closure we provide a route to settle valid residual earnings, subject to lawful verification and disclosed reasonable charges. A dashboard balance is a record of an entitlement, not a deposit or investment account.
13 Returns and cancellations
Cancelled, unpaid or fully refunded qualifying product amounts do not earn commission. A partial product refund reduces the commission base proportionately. Refunds relating only to a charge excluded from the commission base do not automatically reduce product commission.
Example only: reducing the eligible base from NGN 100,000 to NGN 80,000 at an illustrative 5 percent reduces commission from NGN 5,000 to NGN 4,000. The adjustment is NGN 1,000, not the entire commission. Voluntary partial settlements follow their actual recorded allocation.
14 Commission reversals and recovery
We may correct a duplicate, calculation or attribution error, qualifying cancellation or refund, or supported fraud or ineligibility. Ordinary corrections must be notified within 180 calendar days after the commission was confirmed. Later correction is limited to fraud, concealment, a legal requirement or an external chargeback or refund that could not reasonably have been identified earlier, within applicable legal limits.
We give the transaction, amount, reason and evidence summary before recovery where lawful and ordinarily allow 5 business days to challenge. You authorise deduction of an established overpayment from future earnings under these Terms. If insufficient, an itemised repayment demand allows 14 calendar days, subject to a genuine unresolved dispute and law. No external bank debit occurs without separate authority and no undisclosed penalty is added.
Urgent legally required adjustments may precede notice, followed by notice as soon as lawful. A disputed amount may be separately held; unrelated money remains payable unless independently restricted. Human review and correction are available at support@ukamart.com. There is no double recovery.
15 Self purchases
Your own purchase through your affiliate link or code is ineligible. Do not arrange a nominal buyer or related account to disguise a purchase you control. A genuine independent household purchase is assessed against the disclosed campaign rules and evidence, not automatically labelled fraud merely because an address matches.
16 Fake orders
Orders without genuine purchase intent, circular payments, staged deliveries, fabricated returns and coordinated reward farming are prohibited. An order later cancelled for a genuine reason is not by itself fraudulent.
17 Affiliate fraud
Do not manipulate clicks, attribution, identities, payments, reviews or evidence. We may stop affected activity, investigate and make required reports. An automated flag is not a final finding; adverse payout decisions receive human review.
Only justified amounts may be reversed or held. Account action and financial recovery are assessed separately under Documents 10 and 11.
18 Referral programme
Referral offers are separate from product commissions. Each offer states the genuine qualifying action, who receives the reward, amount or benefit, dates, limits and any expiry. Rewards do not arise solely from recruiting an expanding chain of participants.
These Terms do not authorise lottery, spin-to-win or other chance-based promotions. Such campaigns require separate rules and any required approval before launch. Do not imply that recruits must pay you or buy programme access.
19 Referral qualification
Only real, eligible new users completing the published action qualify. Duplicate accounts, self-referrals, impersonation and sham activity are ineligible. We assess errors fairly and explain a rejected reward.
Do not upload address books or use another person's contact details for invitations without the required permission and lawful basis. Respect refusals and unsubscribe choices. A public contact detail is not consent to promotional messages.
20 Creator and seller collaboration
Agree the deliverable, compensation, deadlines, approvals, content rights, disclosure and cancellation terms in writing. The seller and creator are responsible for their arrangement unless UkaMart expressly becomes a party.
A platform introduction does not guarantee payment by the collaborator. Separate campaign rights must not be hidden in a product commission offer.
21 Sponsored products
A gifted or sponsored product does not automatically replace a separately promised cash fee or commission. State who keeps the product, any return obligation and what happens if content cannot lawfully be published. Sponsorship and affiliate labels may both be required.
22 Taxes
You are responsible for your tax affairs and accurate tax identity information. UkaMart makes withholding or other deductions where legally required, identifies the basis and amount on the statement and provides required evidence. Applicable tax rates depend on the transaction and the law in force; we identify any deduction rather than applying an undisclosed universal rate.
We do not promise a net amount unless the offer expressly states one and explains deductions. Correct reporting does not mean UkaMart acts as your tax adviser.
23 Payment
UkaMart pays available, verified monetary earnings by bank transfer to the participant's verified Nigerian bank account in the currency of the accepted offer. Standard Nigerian offers use Nigerian naira. Each week, we initiate payment of amounts available by the preceding Sunday at 23:59 West Africa Time no later than Friday, or the next Nigerian business day if Friday is a public holiday. Bank completion is distinct from initiation.
No minimum payout threshold applies to the standard programme. Any exceptional campaign threshold or transfer charge must be prominently disclosed and accepted before participation; absent such disclosure, UkaMart does not deduct a payout charge. A threshold cannot extinguish valid earnings, and valid residual earnings are settled on closure subject to verification and lawful adjustments.
Keep payout details accurate. A name mismatch requires verification, not informal payment to an unrelated person. We provide an itemised statement of gross earnings, deductions, pending and available amounts, payout initiation and confirmed payment. An affected payment may be held under Document 10; undisputed unrelated earnings remain payable. Report errors to support@ukamart.com.
A product's current commission rate is displayed in its offer before promotion. No rate is promised merely by displaying these Terms. Participation and payment require completion of the disclosed onboarding checks.
24 Suspension and appeals
We may restrict participation for a supported breach, urgent risk or legal requirement. We explain the reason, scope and review route where lawful. Suspension is not automatic confiscation of valid earnings.
Appeal ordinarily within 30 calendar days. We acknowledge within 2 business days and aim for a human-review outcome within 10 business days, with updates at least every 10 business days if needed. Reasonable late appeals are considered; external remedies remain available.
25 Termination and general terms
You may stop promoting at any time. Either party may end future participation on 30 calendar days' notice; serious breach or urgent legal or safety grounds may justify immediate termination with review where lawful. Existing qualifying earnings, justified reversals and final settlement remain governed by their accepted terms.
Material programme changes normally receive 30 calendar days' notice and do not rewrite completed qualifying actions. There is no authority to assign an account or bind UkaMart without written approval. Nigerian law and the business dispute provisions in Document 13 apply; arbitration requires a separate voluntary agreement for a defined dispute.
Commercial content indemnities are limited as set out in Document 8. The business-service liability cap and exceptions in Document 13 apply only where properly incorporated and do not reduce sums already payable. Support: support@ukamart.com. Privacy: privacy@ukamart.com.
For these service targets, business days mean Monday to Friday excluding Nigerian public holidays. Calendar days include weekends and holidays. Any shorter mandatory legal deadline takes priority.
